Proposals and quotes
We do not publish fixed prices. Any work is described in a written proposal or quote that sets out the scope, deliverables, timeline and fees. A project starts only when you accept that proposal in writing (email is fine). If a proposal conflicts with these terms, the proposal wins for that project.
Fees, payment and ad spend
Fees and payment dates are set out in each proposal. Advertising spend on platforms such as Google Ads or Meta is paid by you directly to the platform unless agreed otherwise in writing, and is not part of our fee. Late invoices may be paused until paid.
Monthly services and cancellation
Monthly services run month to month. Either party may end them with 30 days’ written notice. Fees for work already done, and for the notice period, remain payable. Fixed-scope projects end when the agreed deliverables are delivered.
Your responsibilities
You agree to give us accurate information, timely feedback and the access we need, and to make sure that any materials you supply (logos, photos, text, product claims) are yours to use and comply with the law and with the policies of the advertising platforms involved.
No promised outcomes
Marketing results depend on many factors outside our control, including search engine algorithms, platform policies, competition, budgets and your own offer. We will carry out the agreed work with reasonable skill and care, but we do not promise specific rankings, traffic, leads, sales or return on ad spend.
Ownership
Once our invoices for a project are paid, you own the final deliverables we create specifically for you, such as website files, ad copy and content. Ad accounts and analytics properties are set up in your name. We may keep general know-how, templates and tools we used, and with your permission may mention the type of work we did for you.
Limitation of liability
To the fullest extent allowed by law, we are not liable for indirect or consequential losses such as lost profits or lost data. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited under applicable law.

Governing law
These Terms and Conditions are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law rules. Any dispute will be handled by the state or federal courts located in Missouri, unless the law requires otherwise.
